Explanation of Responses:
1. This statement is being filed by Timothy R. Barakett (the "Reporting Person"). The Reporting Person is the Chairman, Chief Executive Officer and Managing Member of Atticus Management LLC, f/k/a Atticus Capital, L.L.C., a Delaware limited liability company ("Atticus Management"). Atticus Management is the sole general partner of Atticus Capital LP, a Delaware limited partnership ("Atticus Capital"). Effective as of January 1, 2006, Atticus Management effected a restructuring in which it assigned to Atticus Capital its rights and obligations under the investment management agreements with its clients and following the restructuring it changed its name to "Atticus Management LLC".
2. Atticus Capital, together with certain of its affiliated entities (collectively, the "Atticus Entities"), acts as adviser for, or may otherwise be deemed to have investment discretion with respect to, various investment funds (the "Funds") and other accounts (the "Accounts"). Based on his relationship with the Atticus Entities, the Reporting Person is deemed to be a beneficial owner of the securities owned by the Funds and the Accounts for purposes of Rule 16a-1(a)(1) under the Securities Exchange Act of 1934. The Reporting Person disclaims beneficial ownership within the meaning of Rule 16a-1(a)(2) under the Securities Exchange Act of 1934 in the Securities owned by the Funds and the Accounts except to the extent, if any, of his pecuniary interest therein.
