Explanation of Responses:
1. Includes 4,000 and 15,000 Restricted Stock Units granted on September 30, 2006 and June 13, 2008, respectively, pursuant to the issuer's Amended and Restated Stock Option/Stock Issuance Plan and will vest and be deliverable on September 30, 2009 and June 13, 2011, respectively, subject to continued service and satisfactory service by the reporting person.
2. Stock option vested and became exercisable in five equal annual installments with the last installment becoming exercisable on March 31, 2007.
3. Stock option vested and became exercisable in five equal annual installments with the last installment becoming exercisable on February 1, 2008.
4. Stock option vests and will become exercisable in five equal annual installments. The first four installments became exercisable on September 30, 2004, September 30, 2005, September 30, 2006 and September 30, 2007, and the last installment becomes exercisable on September 30, 2008, subject to continued and satisfactory service by the reporting person.
5. Stock option vests and will become exercisable in five equal annual installments. The first three installments became exercisable on August 22, 2005, August 22, 2006 and August 22, 2007, and the next two installments become exercisable on August 22, 2008 and August 22, 2009, subject to continued and satisfactory service by the reporting person.
6. Stock option vests and will become exercisable in five equal annual installments. The first two installments became exercisable on November 30, 2006 and November 30, 2007, and the next three installments become exercisable on November 30, 2008, November 30, 2009 and November 30, 2010, subject to continued and satisfactory service by the reporting person.
7. Stock option vests and will become exercisable in five equal annual installments commencing on July 6, 2008, subject to continued and satisfactory service by the reporting person.
8. Stock option vests and will become exercisable in four equal annual installments commencing on March 7, 2009, subject to continued and satisfactory service by the reporting person.
9. Stock option vests and will become exercisable in five equal annual installments commencing on May 2, 2009, subject to continued and satisfactory service by the reporting person.
10. Stock option vests and will become exercisable in four equal annual installments commencing on June 13, 2009, subject to continued and satisfactory service by the reporting person.
