Explanation of Responses:

1. This Form 3 is jointly filed by Mr. Peter Wang and Sinoquest Management Ltd. Mr. Wang is an officer and a significant shareholder of Sinoquest Management Ltd. Mr. Wang disclaims pecuniary ownership over the portion of Sinoquest Management Ltd. not represented by his ownership thereof.

2. The amendment to the Form 3 for the March 8, 2007 event date, is being filed to indicate that of the shares reported upon by the reporting person, 2,043,353 shares ("Shares") were placed into an escrow account to be transferred to other investors in the Issuer in the event that certain financial criteria of the Issuer were not met for the fiscal years June 30, 2007 and June 30, 2008. As none of the criteria were met, the escrow shares were distributed to the other investors, and as a result the pecuniary interest of the Shares were never held by the reporting person.
